Marketplace Seller Agreement

    1. Scope and Acceptance

    This Marketplace Seller Agreement ("Seller Agreement") governs the relationship between you ("Seller", "you") and Castellum - Forge s.r.o. ("Platform", "we", "us") when you use the Citadel TCG marketplace to list and sell physical trading cards, sealed products, or other permitted items. This agreement supplements the general Terms of Service.

    By creating a shop or listing items on the marketplace, you agree to be bound by this Seller Agreement and all applicable laws, including the Digital Services Act (EU) 2022/2065, the Platform-to-Business Regulation (EU) 2019/1150, and applicable consumer protection laws.

    2. Seller Account and Verification

    2.1 Account Requirements

    To sell on the marketplace, you must:

    • Be at least 18 years old or the age of legal majority in your jurisdiction
    • Have a verified Citadel TCG account
    • Create a shop through the platform
    • Complete Stripe Connect onboarding (identity verification and payment setup)
    • Provide all required identification information (see Section 2.2)

    2.2 Identity Verification (DSA Article 30)

    Before you may list items for sale, we are legally required to collect and verify the following information, in accordance with the Digital Services Act:

    • Your full legal name (or company name)
    • Your address
    • Your email address and telephone number
    • A copy of your identification document (processed by Stripe)
    • Your payment account details (Stripe Connect)
    • If you are a business: your trade register number and VAT identification number
    • A self-certification that you will only offer products that comply with applicable law

    We will verify this information using Stripe's identity verification and, where applicable, publicly available databases. If you fail to provide the required information, we cannot allow you to sell on the platform. We will re-verify your information at least once every 12 months.

    3. Seller Types

    3.1 Professional Sellers (Businesses)

    If you sell as a business entity (company, sole trader, or professional), you must indicate this during shop setup and provide:

    • Company name and registration number (IČO or equivalent)
    • VAT identification number (if VAT-registered) — we verify this via the EU VIES system
    • Business address
    • Trade register entry details

    Professional sellers are subject to full EU consumer protection obligations, including the right of withdrawal, legal guarantee of conformity, and pre-contractual information requirements.

    3.2 Private Sellers (Individuals)

    If you sell as a private individual (not in the course of a trade or business), you must indicate this during shop setup. Private sellers are not subject to the same consumer protection obligations as professional sellers.

    Important: Your seller type is displayed publicly on all your listings. Buyers are informed that different consumer protection rights may apply depending on whether the seller is a professional or private individual, in accordance with the Omnibus Directive (EU) 2019/2161.

    4. Tax Reporting (DAC7)

    Under Council Directive (EU) 2021/514 (DAC7), we are legally required to collect and report certain seller information to the Slovak Financial Administration (Finančná správa SR) annually.

    4.1 Information Collected

    • Your name, address, and date of birth (individuals) or company name and registration number (entities)
    • Tax Identification Number (TIN) and country of issuance
    • VAT identification number (if applicable)
    • Financial account identifier (payment account linked to your Stripe Connect account)

    4.2 What is Reported

    If you exceed the reporting thresholds (more than 30 sales or more than €2,000 in total consideration in a calendar year), we are required to report:

    • Your identification information and TIN
    • Total consideration paid or credited per quarter
    • Number of sales per quarter
    • Any fees, commissions, or taxes withheld by the platform

    This information is reported to the Slovak tax authority, which may share it with tax authorities in your country of residence under the EU automatic exchange of information framework.

    4.3 Your Obligations

    You are solely responsible for your own tax obligations, including income tax, VAT (if applicable), and any other taxes on your sales. The platform does not provide tax advice.

    4.4 Sale Documents Issued in Your Name (Invoicing Mandate)

    By accepting this Agreement, you authorize the platform to issue sale documents to buyers in your name and on your behalf for each completed order, as permitted by Article 220 of Council Directive 2006/112/EC and §72 of the Slovak VAT Act (invoicing by a third party in the name and on the account of the supplier). The type of document depends on your declared seller status:

    • Private individuals: a proof-of-sale document (not a VAT invoice), reflecting the occasional sale of used goods from personal property.
    • Professional sellers not registered for VAT: an invoice without VAT, marked "Seller is not a VAT payer".
    • VAT-registered sellers: a VAT invoice under the applicable scheme per item — standard rate, reverse charge (cross-border B2B), or the second-hand margin scheme (§66 of the Slovak VAT Act) where its conditions are met. Margin-scheme items do not show VAT separately, as required by law.

    Documents are generated from the tax-status information in your shop profile and listings (seller type, VAT registration and country, margin-scheme eligibility, per-item acquisition costs). You warrant that this information is accurate and will keep it up to date;you remain solely responsible for the correctness of the tax treatment applied to your listings — in particular that the margin scheme is used only for eligible used goods acquired without deductible VAT and that you keep the required acquisition records. Each shop has its own document numbering series. If you believe a generated document is incorrect, contact support without undue delay and we will issue a correction.

    5. Listings and Prohibited Items

    5.1 Permitted Items

    You may list the following categories of items:

    • Card listings: Physical trading cards from your Citadel TCG inventory
    • Sealed product listings: Factory-sealed trading card products from your sealed inventory
    • Custom listings: Other trading card-related items (subject to admin approval before becoming visible)

    5.2 Prohibited Items

    You may not list:

    • Counterfeit or replica cards
    • Stolen goods
    • Items that infringe intellectual property rights
    • Digital-only items or codes (unless specifically permitted)
    • Items that violate any applicable law
    • Items unrelated to trading card games
    • Alcohol, tobacco, weapons, drugs, or other regulated goods

    5.3 Listing Accuracy

    You must ensure that all listings accurately describe the item, including condition, edition, language, and any defects. Misleading or deceptive listings may result in listing removal and account suspension.

    6. Pricing and Commission

    6.1 Pricing

    You set the price for your listings. If you are a professional seller, prices displayed to consumers must include all applicable taxes (VAT). When advertising price reductions, you must display the lowest price you offered in the 30 days preceding the reduction, in accordance with the Omnibus Directive.

    6.2 Platform Commission and Payment Processing

    Each completed sale is subject to two charges: (a) a platform commission, set by default at 1.5% of the order amount (this rate may differ for certain shops by prior arrangement), and (b) payment-processing costs, which recover the fees charged by our payment provider (Stripe), approximately 1.5% + €0.25 per transaction. Both are automatically deducted from the payment before the remaining balance is transferred to your Stripe Connect account.

    6.3 Currency

    You select your shop currency (EUR or USD) during shop setup. Buyers may see converted prices in their local currency at applicable exchange rates.

    7. Payments

    All payments are processed through Stripe Connect. When a buyer completes a purchase:

    • The buyer's payment is processed by Stripe
    • The platform commission (1.5% by default) plus payment-processing costs are retained by Castellum - Forge s.r.o.
    • The remaining amount is transferred to your Stripe Connect account
    • Payment-processing costs recover Stripe's transaction fees (approximately 1.5% + €0.25 per transaction)

    Payout timing is governed by your Stripe Connect account settings and Stripe's policies. We do not hold funds in escrow. Disputes and refunds are processed through Stripe's dispute resolution and refund mechanisms.

    8. Shipping and Fulfillment

    • You are responsible for shipping items to buyers in a timely manner
    • You must set up shipping profiles with clear rates and delivery timeframes
    • Shipping costs and estimated delivery times are displayed to buyers at checkout and included on invoices
    • You must update order status (shipped, tracking information) promptly
    • You bear the risk of loss or damage during shipping unless otherwise agreed with the buyer

    9. Returns and Consumer Rights

    9.1 Professional Sellers

    If you are a professional seller, you are subject to EU consumer protection laws, including:

    • Right of withdrawal: Consumers have 14 days from receipt to return items without giving a reason. You must accept returns and issue refunds within 14 days of receiving the returned item or proof of return shipping.
    • Legal guarantee of conformity: You must guarantee that goods conform to the contract for at least 2 years (1 year for used goods in Slovakia). Defective goods must be repaired, replaced, or refunded.
    • Return shipping costs: You determine and clearly disclose who bears the cost of return shipping in your shop policies. This must be visible to buyers before purchase.

    9.2 Private Sellers

    If you are a private individual seller, the 14-day right of withdrawal and legal guarantee do not apply. However, you must still accurately describe items and not engage in deceptive practices.

    9.3 Sealed Products

    Sealed trading card products (booster packs, boxes, etc.) where the seal has been broken after delivery may be exempt from the right of withdrawal under Article 16(e) of the Consumer Rights Directive, as goods that are not suitable for return due to protection reasons and were unsealed after delivery. This exemption applies only to factory-sealed products with an intact seal.

    10. Content and Intellectual Property

    • You may only use images you own or have the right to use in your listings
    • Card images from your Citadel TCG inventory may be used in associated listings
    • You must respect the intellectual property rights of card game publishers
    • We will act on valid IP infringement notices by removing infringing listings and notifying you with a statement of reasons
    • If you believe a listing was wrongly removed, you may submit a counter-notice through our complaint-handling system

    11. Ranking and Visibility

    In accordance with the Platform-to-Business Regulation (EU) 2019/1150, the following parameters determine how listings are ranked in search results and marketplace browsing:

    • Relevance: How closely the listing matches the buyer's search query (highest weight)
    • Recency: More recently listed or updated items may appear higher
    • Seller rating: Sellers with higher average ratings may receive a ranking boost
    • Completion: Listings with complete information (images, description, condition) rank higher
    • Price: When buyers sort by price, this becomes the primary parameter

    Paid promotion: Sellers may use the advertising system to promote listings. Promoted listings are clearly labeled as "Sponsored" and appear in designated ad placements. Paid promotion does not affect organic search ranking.

    Public visibility: The marketplace is publicly browsable. By opening a shop you acknowledge and agree that your shop profile (name, URL, bio, logo, banner, location, seller type, rating) and your active listings (item, price, condition, language, quantity, images) are visible to anyone on the internet without authentication and may be indexed by search engines. Professional sellers' support e-mail address is also displayed publicly. The categories of publicly visible data are described in section 6.3 of the Privacy Policy.

    12. Data Access and Portability

    You have access to the following data through your shop dashboard:

    • All your listing data (items, prices, images, status)
    • Order history and details (buyer display name, shipping address, amounts)
    • Sales analytics (total sales, revenue, average rating)
    • Reviews and ratings received
    • Shipping profile configurations

    You may request a full export of your seller data by contacting us at info@castellum-forge.net. Upon termination of your shop, you may request your data for a period of 30 days after closure.

    13. Account Restriction, Suspension, and Termination

    13.1 Restrictions and Suspensions

    We may restrict or suspend your selling privileges if you violate this Agreement, receive repeated complaints, or engage in conduct that harms the marketplace. Before restricting or suspending your account, we will:

    • Provide a statement of reasons on a durable medium (email)
    • Give you an opportunity to clarify the facts and remedy the issue

    13.2 Termination

    We may terminate your seller account with at least 30 days' written notice, delivered by email, with a clear statement of reasons. The 30-day notice period may be waived in cases of:

    • Repeated violations of this Agreement
    • Legal or regulatory obligations requiring immediate termination
    • Demonstrable risk that the seller is engaged in illegal activity

    13.3 Consequences of Termination

    Upon termination, all active listings will be deactivated. Outstanding orders must still be fulfilled. Pending payouts will be processed according to Stripe's policies.

    14. Complaint Handling

    We provide an internal complaint-handling system for sellers. If you have a complaint about our decisions regarding your shop, listings, or account, you may:

    • Submit a complaint via email to info@castellum-forge.net
    • We will acknowledge receipt and investigate your complaint
    • We will communicate the outcome with reasons in a timely manner
    • The process is free of charge

    15. Mediation

    In accordance with Article 12 of the P2B Regulation, if a dispute cannot be resolved through our internal complaint-handling system, you may seek resolution through the following mediators:

    • Centre for Effective Dispute Resolution (CEDR)www.cedr.com
    • Slovak Mediation Centre (Centrum pre mediáciu) — operated under the Slovak Ministry of Justice

    We will engage in good faith in any mediation attempt.

    16. Liability

    You are solely responsible for the items you sell, their description, quality, safety, and legal compliance. The Platform acts as an intermediary and is not a party to the sale. You agree to indemnify Castellum - Forge s.r.o. against any claims arising from your marketplace activities.

    17. Changes to This Agreement

    We may modify this Seller Agreement. We will notify you of any changes at least 15 days before they take effect. If changes require technical or commercial adjustments on your part, we will provide a longer notice period. You may terminate your seller account before the changes take effect if you do not agree with them.

    18. Governing Law

    This Seller Agreement is governed by the laws of the Slovak Republic. Disputes shall be submitted to the competent courts in Nitra, Slovak Republic, without prejudice to your right to seek mediation as described in Section 15.
